Job Overview

A law firm seeks a Corporate Associate to join its Emerging Business & Venture Capital Group in Miami, FL. The ideal candidate will have 2-5 years of experience working with startups and emerging growth companies, handling a variety of corporate matters.

Duties

  • Assist with company formations and financings, including convertible notes and SAFEs.
  • Manage venture capital and private equity transactions.
  • Ensure compliance with federal securities and state blue sky laws.
  • Facilitate joint ventures, spin-offs, and mergers and acquisitions.
  • Advise on employment, consulting, and equity compensation matters.

Requirements

  • 2-5 years of relevant experience.
  • Background in venture capital, technology startups, or reputable law firms.

Education

  • Juris Doctor (JD) degree required.

Certifications

  • Admission to the state bar.
