Corporate M&A / Private Equity Associate

Job Overview

A law firm seeks a Corporate Associate with 3 to 8 years of experience in M&A and private equity transactions for their Miami, FL office. The ideal candidate will have substantial experience representing control-oriented private equity sponsors and their portfolio companies in a broad range of transactional matters.

Duties

• Represent private equity sponsors in platform acquisitions, add-on investments, and dispositions.
• Manage multiple aspects of complex transactions, including structuring and due diligence.
• Draft and negotiate purchase and investment agreements.
• Coordinate deal execution effectively.

Requirements

• Minimum of three years of corporate experience at an Am Law 100 firm.
• Experience representing private equity sponsors.
• Strong negotiating and drafting skills.
• Excellent analytical and writing abilities.
• Practical, business-oriented approach to problem-solving.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Admission to the Florida or New York Bar, or willingness to sit for the next available examination.
