Job Overview

A law firm seeks a mid-level corporate associate with 3-5 years of experience to join its Capital Markets Corporate practice in Boston. The associate will work with public company clients and handle U.S. and cross-border securities transactions, including initial public offerings and debt offerings.

Duties

  • Draft and negotiate transaction documents, including underwriting and purchase agreements.
  • Advise clients on SEC reporting and disclosure obligations.
  • Conduct due diligence and coordinate processes across deal teams.
  • Advise on corporate governance matters and stock exchange listing standards.
  • Represent SPACs and target companies in de-SPAC business combinations.

Requirements

  • 3-5 years of experience in capital markets and public company counseling.
  • Experience with SEC and other regulatory interfaces.
  • Familiarity with '34 Act reporting requirements.
  • Experience with foreign private issuers and SPAC transactions is beneficial.
  • Admitted to the Massachusetts Bar or eligible for admission.

Education

  • Outstanding academic credentials required.

Certifications

  • Massachusetts Bar admission or eligibility.

  • Ability to work effectively in fast-paced deal teams.
