A law firm seeks an Associate Attorney specializing in Executive Compensation and Benefits to join their San Francisco office. The role involves providing legal expertise on executive compensation aspects of corporate transactions, advising companies, investors, and executives on related issues, and ensuring compliance with applicable laws and regulations.

Duties

  • Work on executive compensation and employee benefits in private equity and public company transactions.
  • Provide legal advice on executive compensation and employee benefits matters.
  • Assist in designing and administering executive compensation plans.
  • Draft and review employment agreements and compensation-related documents.
  • Conduct legal research on relevant laws and industry trends.
  • Advise on compliance with federal and state laws, including ERISA and tax laws.
  • Negotiate and draft executive employment contracts and severance agreements.
  • Collaborate with tax and corporate practice groups for comprehensive client representation.
  • Stay updated on legal developments in executive compensation and benefits.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school with strong academic standing.
  • Admission to practice law in the state of employment or eligibility for prompt admission.
  • 2-6 years of experience in M&A transactional executive compensation and benefits matters, preferably in a law firm.
  • Strong knowledge of relevant laws and regulations.
  • Attention to detail and sharp analytical skills.
  • Ability to work independently and collaboratively in a team-oriented environment.
  • Practical experience with legal AI tools is preferred.

Education

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications

  • Admission to practice law in the state of employment or eligibility for prompt admission.
