Job Overview

A law firm seeks a Corporate & Securities Associate in Washington, DC. This position involves working on sophisticated transactions across various industries, representing established companies, high-growth startups, venture funds, and strategic investors.

Duties

  • Advise on M&A transactions, venture financings, and general corporate governance.
  • Draft and negotiate purchase agreements, merger agreements, and financing documents.
  • Support emerging companies through their lifecycle, from startup to exit.
  • Manage due diligence and coordinate with clients, senior attorneys, and specialists on transactional workstreams.

Requirements

  • J.D. from an accredited law school.
  • Admission to the DC or Virginia bar (or eligibility to waive in).
  • 2-4 years of corporate transactional experience, ideally at a large law firm.
  • Experience in M&A, venture financings, or general corporate work.
  • Strong drafting, negotiation, organizational, and interpersonal skills.
  • Highly motivated with an interest in taking on increased levels of responsibility.
  • Ability to handle day-to-day demands and workflow in a team-oriented and dynamic environment.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission to the DC or Virginia bar (or eligibility to waive in).
