A law firm seeks a Corporate Attorney for Emerging Growth Companies in New York City, NY. This role involves working with emerging growth companies and institutional investors, focusing on venture capital financings, M&A transactions, and corporate governance matters.

Duties

• Communicate effectively with partners, clients, and staff.
• Produce deliverables and respond to correspondence efficiently.
• Analyze complex legal issues and apply legal principles.
• Provide timely and accurate work products.
• Meet deadlines and perform under pressure.
• Engage in physical and sedentary activities as required.
• Travel for client meetings and business development activities.
• Mentor and supervise junior lawyers and staff.

Requirements

• 5-8 years of experience in emerging growth and venture capital.
• Experience with AmLaw 100 law firms preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.
• Experience in preferred stock, bridge, and SAFE financings.
• Ability to manage due diligence on M&A transactions.
• Experience advising on corporate governance matters.

Education

• Juris Doctor (JD)

Certifications

• Bar admission in relevant jurisdiction
