Senior Project Finance Associate Attorney

Job Overview:
A prestigious law firm based in Washington, DC, is seeking a highly skilled Senior Project Finance Associate to join its growing financial services practice. This role presents an exciting opportunity to work on a wide variety of complex and high-profile project finance matters, involving both lender- and borrower-side transactions. The ideal candidate will bring expertise in drafting and negotiating project finance agreements, performing due diligence, and navigating intricate project documentation, including engineering, procurement, and construction contracts. The position is well-suited for someone with a collaborative and entrepreneurial spirit, capable of managing independent projects in a fast-paced environment.

Duties:

  • Lead and manage project finance transactions, focusing on both lender and borrower perspectives.
  • Draft and negotiate credit facilities, letters of credit, and performance/payment bonds.
  • Conduct bankability analysis of project documents and negotiate key agreements, including:
    • Engineering, procurement, and construction contracts (EPCs)
    • Supply agreements (transformer, module, BESS, turbine, inverter)
    • Offtake and tolling agreements
  • Independently handle security documents, including security agreements, pledge agreements, financing statements, and control agreements.
  • Negotiate NY-law legal opinions, direct agreements, consents to collateral assignments, and reliance letters.
  • Perform due diligence on project documentation, ensuring compliance and identifying potential risks.
  • Collaborate effectively with internal teams and clients to ensure seamless execution of projects.

Requirements:

  • 4-6 years of experience in project finance, including both lender and borrower-side work.
  • Demonstrated experience in drafting and negotiating project finance agreements, including:
    • PF Credit Agreements
    • New York law-governed Security Documents
    • Consents to Collateral Assignments
    • Legal Opinions and Project Documents (EPC Contracts, Offtake Agreements, Supply Agreements, etc.)
  • Strong analytical skills and the ability to perform comprehensive due diligence on project documents.
  • Ability to work independently and within a team, managing multiple tasks in a fast-paced environment.
  • Entrepreneurial mindset with a proactive approach to problem-solving.

Education:

  • Excellent academic credentials are required.

Certifications:

  • Must be licensed or eligible to be licensed to practice law in Washington, DC (or the ability to become licensed).

Skills:

  • Exceptional legal writing, drafting, and negotiation skills.
  • Strong organizational and project management abilities.
  • Excellent communication and interpersonal skills.
  • Ability to manage high-pressure situations and tight deadlines.
  • Comfort working with a wide range of complex legal documents and agreements.
