Job Overview

A law firm seeks a Senior Associate with 5-7 years of experience to join its Finance & Financial Services practice in Austin. The ideal candidate will have significant experience in leveraged finance, representing financial institutions and private credit funds in complex transactions. This role involves direct client interaction and transaction management in a dynamic environment.

Duties

  • Manage sponsor-backed acquisition financings, including cross-border and multi-currency deals.
  • Handle cash-flow and asset-based lending, including senior and superpriority revolvers.
  • Oversee multi-lender/syndicated facilities and intercreditor arrangements.
  • Facilitate mezzanine and subordinated debt, preferred equity co-investments, and structured solutions.
  • Conduct liability management transactions, including negotiation of intercreditor mechanics.
  • Execute amend-and-extend transactions, refinancings, and recapitalizations.

Requirements

  • 5-7 years' experience in leveraged finance/private credit at a national firm.
  • JD from an ABA-accredited law school.
  • Bar admission in one or more jurisdictions preferred (FL, NY, MA, IL, GA, NC, TX) or eligibility to become licensed.
  • Residence in the Austin area required at or prior to hire.
  • Familiarity with LMEs, unitranche structures, and sponsor finance market terms.
  • Strong drafting skills and commercial awareness.
  • Big-law training and experience with sophisticated deals.
  • Excellent communication skills and ability to manage client relationships.

Education

  • JD from an ABA-accredited law school.

Certifications

  • Bar admission in one or more jurisdictions preferred.

Skills

  • Strong drafting and negotiation skills.
  • Excellent judgment and commercial awareness.
  • Self-starter with strong communication abilities.
