Job Overview
A law firm seeks a mid-level associate with substantial capital markets experience to join their team in New York, with a focus on Equity Capital Markets. This role offers opportunities for hands-on deal execution, client interaction, and professional growth.

Duties

  • Lead and manage day-to-day execution of capital markets transactions, focusing on Equity Capital Markets offerings.
  • Draft and review offering documents, including registration statements and prospectuses.
  • Coordinate due diligence processes and manage transaction timelines.
  • Advise clients on securities law compliance and disclosure requirements.
  • Take ownership of key deal workstreams and drive transactions forward.
  • Collaborate with partners, senior associates, and cross-functional teams.
  • Communicate effectively with clients, underwriters, and opposing counsel.

Requirements

  • 4-6 years of relevant capital markets experience, ideally at an Am Law 100 firm.
  • Experience with public securities offerings and U.S. securities laws.
  • Hands-on experience with equity and debt transactions, including convertible debt offerings.
  • Experience representing both issuers and underwriters.
  • Ability to independently manage substantial components of transactions.
  • Excellent academic credentials and strong analytical, writing, and communication skills.
  • Admission to the New York bar (or eligibility), or California bar for Silicon Valley candidates.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Admission to the New York bar or California bar for Silicon Valley candidates.

Skills

  • Strong working knowledge of U.S. securities laws and regulatory frameworks.
  • Demonstrated ability to manage transactions and execute day-to-day tasks independently.
