Job Overview

A law firm seeks a Mid-Level Associate for the Capital Markets Group in New York. This full-time position offers the opportunity to work with a diverse range of clients across various industries. The role involves engaging with public and private equity and debt offerings, including initial public offerings and follow-on offerings.

Duties

  • Engage in public and private equity and debt offerings.
  • Prepare proxy statements and S-4 registration statements.
  • Interface with the SEC and other regulators.
  • Advise on ongoing reporting requirements under the '34 Act.
  • Represent both issuers and underwriters.
  • Counsel public companies on corporate governance matters.

Requirements

  • 5-7 years of experience from a peer BigLaw firm.
  • Experience with initial public offerings and follow-on offerings.
  • Familiarity with SEC regulations and reporting requirements.
  • Strong client management and negotiation skills.
  • Ability to retain and grow client relationships.
  • Admission to the New York bar.

Education

  • Strong academic background.

Certifications

  • Admitted to the New York bar.
