Job Overview
A law firm in New York City is seeking a mid-level Mergers and Acquisitions Associate Attorney to join its corporate practice. This role focuses on advising clients on a wide range of M&A transactions, including private equity and private company deals. The position offers the opportunity to work in a collaborative environment, handling sophisticated transactions for diverse clients across industries.

Duties

  • Assist in structuring and executing mergers and acquisitions transactions
  • Draft and negotiate transaction documents, including purchase agreements and related ancillary documents
  • Conduct legal due diligence and review target company materials
  • Support private equity transactions and other private company deals
  • Advise clients on transaction strategy, risks, and regulatory considerations
  • Coordinate with internal teams and external advisors throughout the deal process
  • Assist with transaction closings and post-closing matters
  • Manage multiple transactions and deadlines in a fast-paced environment


Requirements

  • At least 3 years of experience handling mergers and acquisitions transactions
  • Experience with private equity or private company transactions preferred
  • Prior experience in a large law firm environment preferred
  • Strong ability to manage complex transactions and work collaboratively with deal teams
  • Excellent academic credentials


Education and Certifications

  • Juris Doctor (JD) from an accredited law school
  • Admission to practice law in New York or eligibility for admission

  • Strong transactional drafting and negotiation skills
  • Knowledge of mergers and acquisitions processes and deal structures
  • Legal research and analytical abilities
  • Strong written and verbal communication skills
