Job Overview:

This opportunity is ideal for an attorney who thrives in a collaborative environment and has a strong foundation in corporate matters and entity structuring. The role offers a mix of client-facing work and strategic involvement in transactional matters across a variety of industries.

Duties:

  • Handle corporate transactional matters including mergers, acquisitions, financings, and joint ventures

  • Advise clients on formation, structuring, and governance of various business entities

  • Draft and negotiate contracts, operating agreements, and other corporate documentation

  • Collaborate with senior attorneys and partners on complex deal structures

  • Manage due diligence and regulatory compliance related to corporate transactions

  • Conduct legal research and analysis related to corporate and entity law

  • Maintain client relationships and ensure timely delivery of high-quality legal services

Requirements:

  • 4-6 years of legal experience focused on corporate law or entity structuring at a law firm

  • Demonstrated involvement in transactional work, including drafting and negotiating agreements

  • Admission to the Pennsylvania Bar is required

  • Ability to work independently and as part of a broader team

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active and in good standing with the Pennsylvania Bar

Skills:

  • Strong legal drafting and analytical skills

  • Attention to detail with a proactive, solutions-oriented mindset

  • Excellent organizational and communication abilities

  • Capable of managing multiple matters concurrently

This firm has given a lot of thought to the interplay between the New York and the New Jersey legal markets. Although one of the oldest and largest in New Jersey, this firm wants to capture the Manhattan type work at Manhattan type billing rates. Although they are not quite there yet, this firm has developed a structure that enables it to base the bulk of its personnel and resources in New Jersey, and have a small New York space from which to handle the 'big city' work. An interesting plan, to be sure. Associates here raves about the reasonable hours and the immediate responsibility, many of whom deal directly with clients and handle entire cases. This is one of the few New Jersey firms where you will see the reverse commute--attorneys leaving Manhattan to take advantage of pleasant work environment and excellent training ground.
