Job Overview

A law firm seeks a Senior Fund Formation Lawyer with over six years of experience to join their Investment Funds practice in Dallas, TX. The candidate will advise sponsors on fund formation and limited partners, including sovereign funds, on investments in private equity and other private investment vehicles.

Duties

• Advise sponsors on fund formation matters.
• Guide limited partners on investments in private equity funds.
• Handle general 1940 Act matters; experience with '40 Act funds is a plus.
• Collaborate on private equity transactions, M&A, and joint ventures.
• Assist with structuring, fundraising, and investor negotiations.
• Manage governance and regulatory compliance issues.

Requirements

• Over six years of relevant legal experience.
• Significant experience with fund formation and private investment vehicles.
• Familiarity with 1940 Act matters.
• Experience with cross-border fund structures is desirable.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in Texas.
