Job Overview

A law firm seeks a Corporate Associate with 3+ years of experience to join their team in Albany, NY. This role offers hybrid flexibility, combining in-office and remote work based on business needs.

Duties

  • Draft merger and acquisition agreements and related closing documents.
  • Prepare organizational documents for corporations and limited liability companies.
  • Draft general commercial contracts.
  • Assist with drafting, reviewing, and negotiating debt finance transaction documents.
  • Participate in deal teams from initial documents through closing and post-closing matters.
  • Manage and conduct due diligence processes.
  • Mentor and develop law students and young attorneys.

Requirements

  • 3+ years of relevant legal experience.
  • Experience in drafting and negotiating legal documents.
  • Strong time management and legal research skills.
  • Professional presence and excellent drafting ability.

Education

  • Bachelor's degree.
  • J.D. from an accredited law school.

Certifications

  • Admission to the New York Bar.

Skills

  • Experience with merger and acquisition agreements.
  • Knowledge of organizational and commercial contract drafting.
  • Familiarity with debt finance transactions.
