Job Overview

A law firm seeks a Commercial Contracts Counsel in Albany to join its Legal and Risk Management team. This role involves leading the firm's third-party contract review process, including drafting, editing, reviewing, and negotiating key contractual terms. The position serves as a liaison between various departments to facilitate vendor and service provider contract reviews.

Duties

  • Draft, review, and negotiate vendor and service provider contracts.
  • Lead and collaborate throughout the contract review process.
  • Develop and implement contracting playbooks and templates.
  • Identify compliance vulnerabilities and develop corrective action plans.
  • Provide guidance to the Procurement team and collaborate with attorneys.
  • Support the firm's cyber-security insurance program.
  • Assist with governance and compliance issues.
  • Participate in special projects as assigned.

Requirements

  • Juris Doctor (JD) degree and active bar membership in good standing.
  • Minimum of five years of experience in commercial contracts.
  • Expertise in software/SaaS agreements and NDAs.
  • Strong knowledge of legal concepts and industry practices.
  • Effective communication and problem-solving abilities.
  • Experience with privacy and data protection laws is a plus.
  • Ability to work independently and collaboratively in a hybrid environment.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Active bar membership in good standing.
