Job Overview

A law firm seeks a Corporate M&A Associate with over three years of experience to join their New York City office. The role involves supporting a dynamic transactional practice, advising clients on mergers and acquisitions, strategic transactions, and general corporate matters.

Duties

  • Support and manage deal processes for M&A transactions, including stock and asset purchases, mergers, and joint ventures.
  • Assist with strategic investments and similar transactions, including venture capital and private equity deals.
  • Draft and negotiate transaction documents such as letters of intent, purchase agreements, and ancillary agreements.
  • Oversee legal due diligence, coordinate requests, review materials, and prepare summaries and issue lists.
  • Coordinate closings, prepare checklists, signature packets, and manage logistics.
  • Collaborate with specialists in tax, employment, IP, and real estate for issue spotting and escalation.
  • Review and advise on general commercial agreements and issues.
  • Support ongoing corporate work, including entity formation and governance documents.

Requirements

  • Over three years of corporate M&A experience at a law firm.
  • Strong drafting skills and comfort managing core deal documents.
  • Experience in running diligence workstreams and coordinating with clients.
  • Ability to manage multiple projects and deadlines with attention to detail.
  • Excellent written and verbal communication skills with a strong client service orientation.

Education

  • J.D. from an accredited law school.

Certifications

  • Admitted to practice in New York and in good standing.

Skills

  • Strong drafting and negotiation skills.
  • Effective communication and client management abilities.
  • Proficiency in managing complex transactions and due diligence processes.
