Job Overview:
A respected law firm is seeking a Corporate Associate Attorney to join its New York office. The ideal candidate will have 2 to 3 years of experience in corporate law, including mergers and acquisitions, commercial transactions, and business formation. This role offers the opportunity to work closely with experienced attorneys on a wide range of matters and build a strong foundation in corporate legal practice.

Location:

  • New York, NY

Duties:

  • Support the corporate practice group in various corporate and commercial law matters

  • Draft, review, and revise legal documents including:

    • Shareholder agreements

    • Operating agreements

    • Merger and acquisition agreements

    • Commercial contracts

  • Advise clients on business issues including M&A, financing agreements, and general governance matters

  • Assess compliance of corporate policies and procedures with applicable laws, regulations, and standards

  • Conduct legal research on corporate and transactional issues

Requirements:

  • 2 to 3 years of legal experience in corporate law, M&A, and commercial transactions

  • Proven ability to manage multiple assignments efficiently

  • Strong attention to detail and ability to meet deadlines

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active bar membership in good standing in the State of New York or eligibility to waive in

Skills:

  • Strong drafting and legal analysis capabilities

  • Excellent verbal and written communication skills

  • Proficient in managing transactional documentation and closing processes

  • Effective team player with the ability to collaborate across practice groups

  • Strong organizational skills and sound judgment
