Job Overview

A law firm seeks an Executive Compensation and Benefits Associate with 3-6 years of experience to join their team in Boston, MA. The successful candidate will work on a variety of executive compensation and equity incentive arrangements, providing legal expertise in a collaborative environment.

Duties

• Advise on executive compensation and equity incentive arrangements in M&A transactions.
• Design and draft equity incentive plans and related agreements.
• Provide guidance on Sections 83, 421-424, 409A, 280G, 162(m), and related Code provisions.
• Offer day-to-day and transactional-specific advice on retirement and welfare plans.
• Coordinate with corporate, tax, and securities teams for client interactions.

Requirements

• 3-6 years of post-JD experience in relevant practice areas.
• Licensed to practice law and in good standing in the state/jurisdiction of the position.
• Strong analytical and writing skills.
• Ability to contribute positively to a collaborative work environment.

Education

• Juris Doctor

Certifications

• Licensed attorney in the relevant jurisdiction.
