Job Overview

A law firm seeks a mid-level corporate associate with 3-5 years of experience in venture capital transactions to join their New York office. The associate will work with a collaborative team advising venture-backed companies and institutional investors across all stages of the company lifecycle.

Duties

  • Draft and negotiate transaction documents for venture capital financings.
  • Advise companies on corporate formation, governance, and securities matters.
  • Represent investors in new investments and follow-on rounds.
  • Manage diligence and maintain direct client relationships.

Requirements

  • 3-5 years of experience in venture capital transactions.
  • Experience at a nationally recognized venture capital practice preferred.
  • Admitted to the Massachusetts and/or New York Bar or eligible for admission.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Bar admission in Massachusetts and/or New York.

Skills

  • Strong project management skills.
  • Ability to work effectively in fast-paced deal teams.
  • Outstanding academic credentials and sound judgment.
