Job Overview

A law firm seeks a corporate associate with at least 5 years of experience in public company and capital markets for its San Francisco office. The ideal candidate will have a strong background in public company reporting compliance, governance, and related issues, including SEC compliance and Nasdaq/NYSE matters.

Duties

  • Manage public company reporting compliance and governance.
  • Address day-to-day issues for public companies, including SEC and disclosure matters.
  • Represent issuers or investment banks in capital markets transactions.
  • Handle IPOs, equity/debt offerings, PIPEs, and at-the-market offerings.
  • Engage with technology and/or life sciences companies, if applicable.

Requirements

  • Minimum of 5 years of relevant experience.
  • Extensive knowledge of SEC compliance and governance.
  • Experience with Nasdaq/NYSE compliance.
  • Proven track record in capital markets transactions.
  • Experience with technology and/or life sciences companies is a plus.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the state bar.
