Job Overview

A law firm seeks a Senior Associate with 5-7 years of experience to join its Finance & Financial Services practice in Atlanta. The ideal candidate will have significant experience in leveraged finance, representing financial institutions and private credit funds in complex transactions. This role involves direct client interaction and managing transactions to closure in a dynamic environment.

Duties

  • Manage sponsor-backed acquisition financings, including cross-border and multi-currency deals.
  • Handle cash-flow and asset-based lending, including senior and superpriority revolvers.
  • Oversee multi-lender/syndicated facilities and intercreditor/subordination arrangements.
  • Facilitate mezzanine and subordinated debt, preferred equity co-investments, and structured solutions.
  • Conduct liability management transactions, including negotiation of intercreditor mechanics.
  • Execute amend-and-extend transactions, refinancings, and recapitalizations for sponsor portfolio companies.

Requirements

  • 5-7 years' experience in leveraged finance/private credit and complex debt transactions.
  • JD from an ABA-accredited law school.
  • Admission to the bar in one or more jurisdictions preferred (FL, NY, MA, IL, GA, NC, TX) or eligibility to become licensed.
  • Residence in the Atlanta area required at or prior to the time of hire.
  • Familiarity with LMEs, unitranche structures, multi-lender syndications, and sponsor finance market terms.
  • Strong drafting skills and excellent judgment.
  • Big-law training and experience handling sophisticated deals.
  • Self-starter with excellent communication skills and confidence in managing workstreams and client relationships.

Education

  • JD from an ABA-accredited law school.

Certifications

  • Admission to the bar in one or more jurisdictions preferred.

  • Strong drafting and negotiation skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage complex transactions and client relationships.
