Job Overview

A law firm seeks an experienced Mergers & Acquisitions Associate for its Boston office. The associate will manage complex legal aspects of mergers and acquisitions, including due diligence, drafting and negotiating agreements, and advising clients on legal risks and strategies. They will collaborate with cross-functional teams to ensure compliance with regulatory requirements and support clients through all stages of the transaction process.

Duties

  • Review financial statements, contracts, and other documents to assess merger and acquisition targets.
  • Draft and negotiate merger agreements, asset purchase agreements, and confidentiality agreements.
  • Oversee the due diligence process for merger and acquisition transactions.
  • Research and analyze legal issues related to mergers and acquisitions.
  • Communicate clearly and professionally with clients, counterparties, and regulators.
  • Advise clients on legal risks, deal structures, and strategic considerations of merger and acquisition transactions.
  • Work with internal and external stakeholders to ensure compliance with applicable laws, regulations, and industry best practices.
  • Prepare and review legal documents, including opinions, memoranda, and presentations.
  • Use AI technologies responsibly and ethically to support research tasks, document review, and workflow efficiency.
  • Maintain up-to-date knowledge on market trends and legal developments to deliver proactive and strategic legal advice.

Requirements

  • Juris Doctor degree from an accredited law school.
  • License to practice law in the state of Massachusetts.
  • 3-6 years of demonstrated M&A experience representing large-scale public and private companies.
  • Strong knowledge of contract law, securities law, and regulatory frameworks.
  • Proven ability to draft and negotiate complex legal documents.
  • Excellent analytical, organizational, and problem-solving skills.
  • Effective verbal and written communication abilities.
  • Ability to manage multiple transactions and deadlines.
  • Proficiency in using AI technologies responsibly and ethically.
  • Commitment to professional integrity and client service.

Education

  • Juris Doctor degree from an accredited law school.

Certifications

  • License to practice law in the state of Massachusetts.
