Job Overview

A top-tier law firm is seeking a mid-level associate to join its Corporate/M&A practice. The ideal candidate will have 2-6 years of experience working on M&A transactions, including document drafting, due diligence, and advising on both buy-side and sell-side deals. This position offers the opportunity to work on high-profile transactions while gaining experience across a range of industries and collaborating with experienced attorneys in a dynamic team environment.

Duties

  • Assist with all aspects of M&A transactions, including private and public company buy- and sell-side deals.
  • Draft and negotiate transaction documents, such as purchase agreements, disclosure schedules, and related documents.
  • Coordinate and manage due diligence processes.
  • Provide legal advice on transaction structuring, tax implications, and regulatory considerations.
  • Collaborate with senior attorneys on deal execution and client strategy.
  • Engage with clients and manage client relationships effectively.

Requirements

  • 2 to 6 years of experience in M&A or corporate transactions.
  • Strong experience in document drafting, due diligence, and managing complex M&A deals.
  • Proven client management and communication skills.
  • Ability to manage multiple projects and meet tight deadlines.
  • A proactive and self-starting attitude with strong organizational skills.
  • Experience with both public and private company transactions is preferred.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active membership in a state bar (preferably Georgia).

Skills

  • Excellent drafting, negotiation, and analytical skills.
  • Strong understanding of M&A processes and transaction structuring.
  • Outstanding written and verbal communication skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Detail-oriented with excellent organizational and project management abilities.
