Job Overview
A law firm seeks a junior to midlevel associate to join its Emerging Companies and Venture Capital practice in Seattle, WA. This role involves working closely with partners to support a growing practice representing emerging companies, founders, and venture capital investors.

Duties

  • Advise emerging growth companies and founders on corporate governance and entity formation.
  • Support venture capital financings, including seed and Series A equity financings.
  • Represent venture capital funds and other investors in venture investments.
  • Assist with strategic transactions, including mergers and acquisitions.
  • Draft and negotiate transaction documents and investor rights agreements.
  • Collaborate with founders and management on strategic matters.
  • Work with attorneys across various corporate specialties.

Requirements

  • 2-4 years of experience in emerging companies, venture capital, or corporate transactional work.
  • Experience with venture financings and startup formation preferred.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple matters in a fast-paced environment.
  • Interest in working with technology companies and venture investors.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission to the California Bar.

  • Strong communication and interpersonal skills.
  • Proficiency in legal research and writing.
