A prominent law firm in Dallas, TX is seeking a dynamic Junior Associate Attorney to join its highly respected Corporate and Mergers & Acquisitions (M&A) team. As a vital member of the department, the successful candidate will contribute strategic insights and hands-on legal expertise in guiding businesses, investors, private equity groups, and family offices through complex corporate transactions and governance matters. This is an excellent opportunity for an ambitious attorney with 2-4 years of relevant experience to grow professionally while supporting high-profile deals in a fast-paced, collaborative environment.

Key Responsibilities:

  • Collaborate closely with senior team members to provide legal counsel on M&A transactions, corporate governance, and strategic business matters.
  • Assist in structuring, negotiating, and drafting key documents for mergers and acquisitions, including purchase agreements, disclosure schedules, and other essential legal provisions.
  • Review and organize due diligence materials, ensuring all aspects of transactions are thoroughly examined and addressed.
  • Draft and review various ancillary documents, such as employment agreements, earn-out agreements, promissory notes, and corporate governance documents, ensuring accuracy and alignment with client goals.
  • Contribute to the structuring and finalization of corporate deals, ensuring compliance with legal and financial regulations.
  • Collaborate with internal stakeholders, including the firm’s lending and corporate finance teams, to facilitate smooth transactions and execution.
  • Maintain a high standard of work product in a deadline-sensitive environment, consistently delivering quality results.
  • Develop creative solutions for clients, leveraging legal expertise to overcome obstacles and ensure successful outcomes.

Required Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active member in good standing with the Texas Bar.
  • 2-4 years of experience in corporate law, with a focus on M&A transactions.
  • Proven experience representing entrepreneurial, sponsor-backed, or private equity-backed businesses in mergers, acquisitions, and other corporate matters.
  • In-depth understanding of M&A structuring, negotiation, and drafting, including purchase agreements and ancillary legal documents.
  • Familiarity with corporate finance principles and basic financial concepts such as capitalization tables and accounting issues.
  • Strong attention to detail, with the ability to work under pressure and meet tight deadlines while maintaining high-quality work products.
  • Excellent communication and drafting skills, with the ability to convey complex legal concepts clearly to clients and team members.
