A law firm seeks a highly skilled attorney with extensive experience in project finance, mergers and acquisitions (M&A), and energy or infrastructure development. This role involves supporting large-scale energy initiatives, managing complex legal transactions, and contributing to the success of diverse projects across both traditional and emerging energy sectors. The position offers significant opportunities for professional growth and leadership.

Duties

  • Oversee legal aspects of financing, M&A, and development for large-scale energy and infrastructure projects.
  • Draft, review, and negotiate key legal documents, including credit and security agreements, purchase and sale agreements, merger documents, and power purchase agreements.
  • Manage and lead transaction closings, ensuring seamless execution of all deal components.
  • Provide strategic guidance on project contracts, including supply, offtake, and ancillary agreements.
  • Work on projects spanning traditional energy (wind, solar, and natural gas) and cutting-edge sectors (hydrogen, carbon capture, battery storage, renewable natural gas, and data centers).
  • Serve as a trusted advisor to clients, sponsors, and internal teams to facilitate successful outcomes.

Requirements

  • At least 6 years of relevant legal experience in project finance, M&A, or energy/infrastructure development, ideally at a prominent law firm.
  • Proven expertise in handling complex transactions, including drafting, negotiating, and closing legal agreements.
  • In-depth understanding of renewable and conventional power projects, with experience across various energy technologies.
  • Strong familiarity with drafting and negotiating power purchase agreements and related contracts.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership or eligibility for membership in the Texas State Bar.

  • Advanced drafting and negotiation skills with exceptional attention to detail.
  • Proven ability to manage multiple complex transactions and deadlines effectively.
  • Strong analytical and critical-thinking abilities for problem-solving in dynamic environments.
