Job Overview: A law firm seeks an Associate to join its Executive Compensation and Benefits practice. This role involves advising a diverse client base on complex compensation and benefits matters, including transactional and compliance-related issues. The position offers flexibility to be based in multiple offices, including Austin.

  • Duties:
  • Advise clients on executive compensation and employee benefits matters.
  • Support mergers and acquisitions, financings, and initial public offerings from a compensation and benefits perspective.
  • Draft and review equity and incentive compensation plans and related agreements.
  • Provide guidance on executive employment matters, including hiring, termination, and exit arrangements.
  • Counsel clients on compliance with Section 280G, Section 409A, ERISA, and related regulations.
  • Assist with public company reporting and disclosure obligations.
  • Conduct legal research and analysis on compensation and benefits issues.
  • Collaborate with cross-functional teams, including corporate deal teams.
  • Requirements:
  • 2 to 3 years of experience in executive compensation and employee benefits.
  • Experience at a large law firm preferred.
  • Strong academic credentials.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Strong understanding of professional responsibility and ethical standards.
  • Admission to the applicable state bar or eligibility for admission.
  • Education:
  • Juris Doctor (JD) or foreign equivalent; LL.M. may be considered in lieu of a JD.
  • Certifications:
  • Active bar membership in the relevant jurisdiction.
  • Skills:
  • Strong analytical and research abilities.
  • Excellent legal writing and drafting skills.
  • Effective verbal communication skills.
  • Attention to detail and organizational abilities.
  • Ability to exercise sound judgment and initiative.
  • Strong interpersonal and client service skills.
