Job Overview

A law firm seeks an Investment Funds Mid-Level Associate for their Charlotte, NC office. The ideal candidate will have 4-6 years of experience in private equity fund formation and related matters, with a preference for those who have worked in large law firms or in-house settings.

Duties

  • Assist private equity fund sponsors with fund formation, including preparing and negotiating private placement memoranda and partnership agreements.
  • Review fund documentation for institutional investors and negotiate fund terms.
  • Structure and draft governing documents for private equity fund management companies and general partners.

Requirements

  • 4-6 years of significant experience in private equity fund formation.
  • Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
  • Experience with private equity secondary transactions and/or GP-led restructurings is beneficial.
  • Admission to the state bar of the office location.

Education

  • Juris Doctor (JD) degree.

Certifications

  • State Bar Admission.

Skills

  • Strong negotiation and drafting skills.
  • Ability to work collaboratively in a team environment.
  • Excellent analytical and problem-solving abilities.
