Job Overview

A law firm seeks a Securities and Capital Markets Associate to join its Richmond, Virginia office. The successful candidate will support a dynamic borrower-side debt finance practice, working closely with experienced partners across various industries.

Duties

  • Represent borrowers and sponsors in leveraged finance transactions.
  • Draft, review, and negotiate financing documentation.
  • Manage due diligence, deal execution, and closing processes.
  • Advise clients on capital structure and transaction strategy.
  • Assist with debt covenant analysis and related agreements.
  • Collaborate with colleagues to deliver comprehensive client solutions.

Requirements

  • J.D. or equivalent from a nationally recognized law school.
  • 1 to 5 years of experience in debt financing transactions.
  • Strong attention to detail and project management skills.
  • Strong interpersonal skills for client and team interaction.
  • Virginia State Bar membership required.

Education

  • J.D. or equivalent from a nationally recognized law school.

Certifications

  • Virginia State Bar membership.

Skills

  • Knowledge of secured lending transactions.
  • Experience in closing financing transactions.
  • Familiarity with Article 9 of the Uniform Commercial Code.
  • Exposure to acquisition financing and M&A transactions.
