Job Overview

A law firm seeks a Corporate Governance Associate with Delaware Court of Chancery clerkship experience to join their Philadelphia office. This role offers a unique opportunity to apply your expertise in corporate governance and special committee practices, advising public companies, boards of directors, and significant stockholders on high-stakes matters.

Duties

  • Advise boards, special committees, and management on corporate law issues, including fiduciary duties and conflicts of interest.
  • Support governance advisory work on activism defense and proxy contests.
  • Provide expertise on governance matters, including bylaw provisions and charter amendments.
  • Draft transaction and governance documents, board materials, and legal memoranda.
  • Conduct sophisticated legal research on corporate law issues and Court of Chancery developments.
  • Assess litigation risk and provide practical, business-oriented advice.
  • Assist on Court of Chancery litigation with technical and practice advice.
  • Collaborate with partners across various practice groups for strategic advice.
  • Contribute to thought leadership through client alerts and presentations.

Requirements

  • J.D. from a top-tier law school with strong academic credentials.
  • Clerkship with the Delaware Court of Chancery.
  • 2-4 years of experience, including clerkship, preferred.
  • Deep knowledge of corporate law and Court of Chancery practice.
  • Excellent legal research, writing, and analytical skills.
  • Strong client communication abilities.
  • Ability to provide strategic, business-oriented advice on complex legal issues.
  • Exceptional attention to detail and ability to manage multiple matters.
  • Admission to Delaware bar (or willingness to obtain); additional state bar admission a plus.

Education

  • J.D. from a top-tier law school.

Certifications

  • Admission to Delaware bar (or willingness to obtain).

  • Deep knowledge of corporate law and Court of Chancery practice.
