Job Overview:
A leading law firm is seeking a junior to mid-level Project Finance Associate to join its Corporate Practice Group in Denver. This role focuses on sponsor-side project finance transactions involving renewable energy, conventional power, infrastructure, and energy projects.

Duties:

  • Represent sponsors in project finance and acquisition finance transactions
  • Draft, review, and negotiate financing documentation, including credit, cash waterfall, and security documents
  • Conduct due diligence for renewable energy, conventional power, and infrastructure projects
  • Manage transaction closings and coordinate financing processes
  • Assist with leveraged finance transactions involving energy and infrastructure assets
  • Prepare and review bid documents, commitment papers, and transaction-related materials
  • Support tax equity financings and other renewable energy financing structures
  • Review and negotiate ISDA, EEI, and related industry agreements when applicable
  • Collaborate with deal teams on complex financing matters across energy and infrastructure sectors

Requirements:

  • 2-3 years of project finance or combined project and acquisition finance experience at a leading law firm
  • Experience handling project finance transactions involving energy, infrastructure, or power projects
  • Strong familiarity with financing documentation and transaction management
  • Experience running closings for project finance and leveraged finance matters
  • Sponsor-side experience preferred; lender-side experience is a plus
  • Exposure to renewable energy financing and tax equity structures preferred

Education and Certifications:

  • Juris Doctor from an accredited law school
  • Admission to practice law in the applicable jurisdiction or eligibility for admission

Skills:

  • Strong drafting and negotiation skills
  • Experience with complex financing transactions
  • Excellent analytical and due diligence capabilities
  • Ability to manage multiple workstreams and transaction timelines
  • Strong organizational and communication skills
  • Collaborative approach to client service and team coordination
