Mid-Level Capital Markets And Securities Associate Attorney

Job Overview:
A prominent law firm located in Denver, CO, is seeking a skilled mid-level associate to join its Capital Markets & Securities and Corporate Governance team. The successful candidate will support regional and national clients across a variety of public and private offerings, securities compliance matters, and corporate governance initiatives. The role is ideal for an attorney who thrives in a fast-paced, team-oriented environment and is looking to build a career in a well-established transactional practice.

Duties:

  • Draft and review offering documents for public securities offerings (Forms S-1, S-3, S-4) and private placements

  • Prepare and analyze periodic SEC filings, including Forms 8-K, 10-Q, 10-K, and registration statements

  • Coordinate and file Section 16 reports, 10b5-1 plans, and annual proxy statements

  • Support corporate clients in drafting and maintaining governance-related policies (e.g., charters, guidelines, insider trading policies)

  • Assist with the planning and execution of annual shareholder meetings

  • Provide securities law support on mergers, acquisitions, and strategic investments

  • Prepare board materials and record meeting minutes

  • Collaborate across offices to manage transactional workflows and client expectations

Requirements:

  • 3-5 years of relevant experience in capital markets and securities regulation

  • Demonstrated ability to handle complex transactional and compliance work independently

  • Proficient in interpreting federal securities laws and exchange listing standards

  • Excellent organizational skills and an ability to juggle competing priorities

  • Strong written and oral communication skills with attention to detail

  • Licensed and in good standing to practice law in Colorado

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the Colorado State Bar

Skills:

  • Strong command of federal securities regulatory frameworks

  • Aptitude for managing multiple transactions simultaneously

  • Effective communication and client service orientation

  • Commitment to quality and accuracy in documentation
