Job Overview

A law firm seeks a highly qualified Senior Associate or Special Counsel with over five years of experience to join its Tax Practice in San Francisco, CA. This role offers an opportunity for a seasoned tax attorney to engage in sophisticated, impactful work within a collaborative environment.

Duties

  • Advise on mergers, acquisitions, reorganizations, and new investor integration.
  • Structure Historic Tax Credit, New Markets Tax Credit, and Opportunity Zone transactions.
  • Design tax-advantaged executive compensation and incentive equity arrangements.
  • Address tax issues from litigation settlements, corporate restructurings, and business reorganizations.
  • Advise real estate developers and operators on tax matters.
  • Structure real estate and agricultural investments.
  • Advise on sales of wineries and vineyards to domestic and international buyers.
  • Design joint ventures and like-kind exchanges.
  • Handle California income, property, sales, and franchise tax matters.
  • Serve as general counsel to families and family offices.
  • Advise renewable energy clients on federal and state incentives and tax-efficient project monetization.

Requirements

  • 5+ years of experience in a sophisticated practice setting.
  • Substantial experience with transactional tax, including partnership and corporate tax, M&A, restructurings, joint ventures, and investment structures.
  • Strong drafting, issue-spotting, and analytical skills.
  • Experience with California tax issues, tax credits, or renewable energy tax considerations is a plus.
  • Admission to the California Bar or ability to become admitted promptly.
  • Collaborative mindset and ability to work across practice groups.
  • Interest in building client relationships and supporting long-term business development.

Education

  • LL.M. in Taxation preferred but not required.

Certifications

  • Admission to the California Bar.
