Job Overview

A law firm seeks a Senior Associate for its Corporate Mergers and Acquisitions practice in New York, USA. The ideal candidate will support and lead complex corporate transactions, including mergers, acquisitions, and joint ventures, while engaging directly with clients and opposing parties.

Duties

  • Represent clients in corporate transactions, including mergers and acquisitions.
  • Draft, review, and negotiate transaction documents.
  • Manage due diligence and logistical preparation for signing/closing.
  • Communicate with relevant parties on transaction issues.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted and in good standing with the New York, Texas, or California bar.
  • Previous corporate M&A experience at a firm or in-house.

Preferred Requirements

  • Experience negotiating deal points with opposing counsel.
  • Experience reviewing purchase agreements and creating issues lists.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent organizational skills and attention to detail.
