Corporate Associate - Securities and Capital Markets

Job Overview

A law firm seeks a Corporate Associate in New York, United States, to collaborate with partners and attorneys in executing capital markets transactions and assisting clients with compliance related to SEC, FINRA, and stock exchange requirements.

Duties

• Advise clients on public offerings, private placements, and other securities sales.
• Draft and negotiate registration statements and related documents.
• Assist in entity formation and negotiation of organizational documents.
• Manage deal execution with issuers, banks, and advisors.
• Communicate with regulatory bodies to obtain clearances.
• Draft compliance documentation for NYSE and NASDAQ filings.
• Review public disclosure and securities filings.

Requirements

• Qualified to practice law in New York.
• Active member in good standing with the New York Bar Association.
• 2-5 years of capital markets experience; SPAC experience preferred.
• Strong drafting, analytical, and communication skills.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Admission to the New York State Bar.
