A law firm is seeking a highly driven Associate Attorney to join its dynamic business transactions team, focusing on mergers and acquisitions across both private and public sectors. This opportunity is ideal for a legal professional who thrives in a fast-moving, multi-project environment and is eager to refine expertise in corporate deal-making. The role requires a professional to manage and coordinate complex legal processes while maintaining meticulous attention to detail.

Key Responsibilities

  • Engage in the full lifecycle of corporate transactions, including mergers, stock and asset purchases, joint ventures, and strategic partnerships.

  • Draft and refine transaction documentation proficiently, including letters of intent, purchase agreements, and ancillary documents.

  • Lead and oversee due diligence efforts by collaborating with internal colleagues and external counsel to ensure thorough analysis and risk assessment.

  • Organize and maintain detailed transaction checklists, timelines, and critical deliverables for multiple concurrent deals.

  • Supervise and mentor junior associates and legal staff, fostering professional development and ensuring quality work product.

  • Communicate confidently and effectively with clients under minimal supervision, delivering clear legal advice and transaction updates.

  • Exhibit a proactive attitude and strong organizational acumen in managing simultaneous, multifaceted legal assignments.

  • Apply working knowledge of federal securities regulations and display willingness to expand knowledge in capital markets and public company transactions when needed.

  • Occasionally support corporate matters outside of M&A, including initial public offerings, capital formation efforts, and corporate governance projects.

Required Qualifications

  • Juris Doctor (J.D.) from an accredited law school.

  • Active membership in good standing with the New York State Bar.

  • Between three and seven years of hands-on legal experience in M&A and general corporate law at a law firm or in-house legal department.

  • Strong background in drafting and negotiating transaction documents, overseeing due diligence processes, and coordinating deal closings.

  • Familiarity with basic securities law principles and prior exposure to public company transactions.

  • Proven ability to manage complex projects independently and work comfortably in a fast-paced setting with competing priorities.

  • Demonstrated leadership skills with a commitment to mentoring and coaching less experienced attorneys.

  • Outstanding written and verbal communication abilities.

  • High level of professionalism, integrity, and work ethic.

Preferred Competencies

  • Prior experience with private placements, minority/majority investments, and cross-border transactions is advantageous.

  • Comfort working collaboratively across practice areas and with outside co-counsel.

  • Enthusiastic approach to learning and taking on additional responsibilities as part of career development.
