Job Overview

A law firm seeks a mid-level associate specializing in debt finance to join their team in New York, NY. The successful candidate will work on a variety of domestic and cross-border leveraged financing transactions, providing legal services to a diverse client base.

Duties

  • Represent and advise clients on debt financing transactions.
  • Draft, review, and negotiate loan and security documentation.
  • Prepare and review issues lists and summary grids.
  • Conduct legal research as needed.
  • Manage teams and processes from discussions through closing.
  • Conduct due diligence and provide legal services to clients.
  • Serve as a primary point of contact for clients and opposing counsel.
  • Assist with ongoing deal administration and collateral matters.
  • Review and prepare drafts of credit agreements and loan documents.
  • Mentor and train junior team members.

Requirements

  • Admitted to the New York State Bar.
  • 3 years of experience in debt financing transactions.
  • Experience advising private equity sponsors and corporate borrowers.
  • Experience overseeing complex legal projects.
  • Experience training junior associates and legal assistants.
  • Experience structuring cross-border financing transactions.

Education

  • J.D., LL.M., or U.S. equivalent in law.

Certifications

  • Admitted to the New York State Bar.

Skills

  • Strong negotiation and drafting skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple projects simultaneously.
  • Proficiency in legal research and analysis.
