Mid-Level Corporate Associate

Job Overview

A law firm seeks a Mid-Level Corporate Associate in New York, NY to draft credit agreements and amendments for secured lending transactions.

Duties

• Draft purchase agreements, indentures, and security documents for high-yield note offerings.
• Prepare security documentation and intercreditor agreements for loan transactions.
• Review commitment, fee, and engagement letters, and acquisition agreements.
• Conduct diligence processes for committed financings and report findings to clients.
• Prepare dealer manager and consent solicitation agent agreements for tender offers.
• Prepare and review legal opinions and ancillary documentation for debt financings.
• Review borrowers' existing credit facilities for refinancing and prepare payoff documents.
• Research and interpret securities law and relevant corporate laws.

Requirements

• Admitted to practice law in the state of New York.
• Two years of experience in drafting and reviewing legal documents for financial transactions.

Education

• Juris Doctor degree or equivalent.

Certifications

• Admitted to the New York State Bar.

Skills

• Strong drafting and negotiation skills.
• Proficient in legal research and interpretation.
• Excellent communication and client management abilities.

This firm is high on profits per partner, but low in terms of associate satisfaction. The good news?
