Job Overview

A prominent law firm is seeking a highly motivated mid-level associate to join its Corporate/M&A practice. The ideal candidate will have experience working on a broad range of M&A transactions, including private and public company buy- and sell-side deals. This position offers the opportunity to work on complex, high-profile transactions while collaborating with a dynamic team of experienced professionals.

Duties

  • Handle all aspects of M&A transactions, including private and public company buy- and sell-side deals.
  • Draft and negotiate transaction documents, including purchase agreements, disclosure schedules, and related documents.
  • Manage and coordinate due diligence processes.
  • Advise clients on transaction structuring and execution.
  • Collaborate with senior attorneys and cross-functional teams on deal execution.
  • Provide strategic counsel to clients on mergers, acquisitions, and corporate restructuring.

Requirements

  • 2 to 6 years of experience working on M&A transactions.
  • Strong client management and communication skills.
  • Proven experience with document drafting and due diligence in M&A transactions.
  • Ability to manage multiple projects and prioritize tasks effectively in a fast-paced environment.
  • A self-starter with excellent organizational and multitasking abilities.
  • Prior experience in both public and private company transactions is preferred.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active membership in a state bar (preferably Georgia, North Carolina, Texas, or Florida).

Skills

  • Strong analytical, drafting, and negotiation skills.
  • Deep understanding of M&A processes and transaction structuring.
  • Excellent communication skills, both written and oral.
  • High level of attention to detail and strong organizational skills.
  • Ability to work both independently and collaboratively in a team setting.
