Job Title: Investment Funds, Registered Funds/BDC Associate Attorney

Job Overview:
A Washington, D.C.-based law firm is actively seeking a mid-level associate to join its Investment Funds Group, specifically focusing on Registered Funds and Business Development Companies (BDCs). The successful candidate will bring 3-5 years of hands-on experience advising on the formation, structure, and regulatory framework of a diverse range of retail investment vehicles. This opportunity is ideal for attorneys looking to expand their practice in a sophisticated legal environment with exposure to both traditional and alternative fund structures.

Duties:

  • Advise on the creation, governance, and ongoing operations of registered investment companies, including:

    • Mutual funds

    • Exchange-traded funds (ETFs)

    • Listed closed-end funds

  • Structure and provide legal guidance on alternative retail products such as:

    • Interval and tender offer funds

    • BDCs (Business Development Companies)

    • REITs (Real Estate Investment Trusts)

    • Holding company structures and comparable vehicles

  • Counsel clients on U.S. and international regulatory frameworks related to compliance and fund distribution

  • Draft and review offering documents, governance materials, and SEC filings

  • Advise on public company disclosures and capital markets transactions as applicable

  • Collaborate across departments, including tax, compliance, and litigation, to deliver comprehensive client support

Requirements:

  • 3-5 years of relevant law firm experience in investment fund matters

  • Demonstrated proficiency in legal issues affecting registered funds and BDCs

  • Familiarity with public company reporting standards and applicable securities laws

  • Exceptional legal research, drafting, and communication skills

  • Ability to manage complex transactions and client relationships with minimal supervision

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the District of Columbia Bar, or eligibility to promptly obtain admission

Skills:

  • Strong analytical thinking and problem-solving capabilities

  • Superior writing and editing skills for technical legal documents

  • Client-oriented mindset with the ability to manage competing priorities

  • Adaptability to work within a fast-paced and collaborative team environment
