Job Overview

A law firm seeks a Corporate Finance Attorney in Minneapolis, MN. The attorney will represent and counsel clients, draft documents, and conduct legal research in corporate finance legal matters.

Duties

  • Provide legal services for publicly-held and privately-held companies, private equity funds, and venture capital funds.
  • Advise on securities law compliance, capital markets transactions, and M&A transactions.
  • Support structuring and documenting public offerings of equity and debt securities.
  • Conduct legal research and provide logical analysis.
  • Draft critical transaction documents and exercise excellent judgment in problem-solving.

Requirements

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
  • Active license to practice law in Minnesota.
  • Two years of legal experience advising businesses on formation, mergers, acquisitions, and compliance.

Education

  • Juris Doctor (J.D.) degree

Certifications

  • Active law license in Minnesota

Skills

  • Strong legal research and analytical skills.
  • Attention to detail and excellent judgment.
  • Proficiency in drafting complex legal documents.
