Duties

• Advise clients on U.S. and international mergers and acquisitions, joint ventures, and exit transactions.
• Provide guidance on capital markets and securities law matters, including compliance and corporate governance.
• Draft corporate transaction documents, such as acquisition and merger agreements.
• Prepare and review capital markets documents, including SEC filings.
• Conduct legal research and draft memoranda on corporate law issues.
• Advise on governance matters and best practices for directors and officers.
• Maintain corporate books and records, including drafting meeting minutes and resolutions.

Requirements

• Juris Doctor (J.D.) degree in Law.
• License to practice law in the State of California.

Education

• Juris Doctor (J.D.) degree in Law.

Certifications

• California State Bar License.
