Job Overview

A top-tier law firm is seeking a highly qualified associate to join its Debt Finance Practice Group in Chicago. This role offers the opportunity to work on sophisticated financing transactions representing both borrowers and lenders. The ideal candidate will bring a strong background in leveraged finance and debt structuring within the context of mergers and acquisitions, workouts, and restructurings.

Location

  • Chicago, IL

Duties

  • Structure, draft, and negotiate secured and unsecured financing agreements

  • Advise on senior, mezzanine, and subordinated debt transactions

  • Manage acquisition financings and debtor-in-possession financings

  • Support clients in loan workouts and restructuring deals

  • Collaborate with clients, counterparties, and internal deal teams to facilitate smooth transaction execution

  • Contribute legal insight to complex financing strategies involving private equity and M&A

Requirements

  • 2–6 years of experience in debt finance at a law firm

  • Extensive deal experience in leveraged finance and acquisition-related financings

  • Proven ability to manage and close complex financial transactions

  • Experience working with both borrower-side and lender-side clients

Education

  • Juris Doctor (J.D.) from an accredited law school

Certifications

  • Admission to the bar in Illinois or eligibility for prompt admission

Skills

  • Strong drafting, negotiation, and communication skills

  • Deep understanding of capital structures and lending terms

  • High attention to detail and ability to manage multiple transactions simultaneously

  • Collaborative mindset and client-focused approach

  • Proficient in managing high-pressure timelines and evolving deal terms
