Job Overview

A law firm seeks a mid-level corporate associate with four to six years of transactional experience to join their team in Washington, D.C. The ideal candidate will have substantial experience advising public and private companies, private equity sponsors, and entrepreneurs on complex corporate matters, with a focus on mergers and acquisitions, entity formation, and sophisticated business transactions.

Duties

  • Draft and negotiate key transaction documents, including merger and stock and asset purchase agreements.
  • Provide practical, business-oriented advice on deal structure, diligence, and integration issues.
  • Lead and coordinate due diligence reviews and transaction closings.
  • Serve as a significant point of contact for clients and opposing counsel.
  • Manage junior associates and cross-functional deal teams.
  • Participate in client education initiatives and business development presentations.
  • Provide mentorship to junior associates and participate in firm citizenship activities.

Requirements

  • Experience counseling clients in regulated industries and working with intellectual property agreements preferred.
  • Comfortable managing deals from inception through closing and working directly with clients.
  • Excellent oral and written communication skills.
  • Outstanding academic credentials.
  • Proactive, client-service-oriented approach.

Education

  • Juris Doctor degree from an accredited law school.

Certifications

  • Admitted to and in good standing with the relevant local Bar.

Skills

  • Strong emphasis on mergers and acquisitions, entity formation, and structuring.
  • Experience with joint ventures and other sophisticated business transactions.
