Duties

  • Collaborate with clients to develop transaction strategies aligned with business goals.
  • Manage all phases of M&A and investment transactions, including structuring and due diligence.
  • Draft and negotiate transaction documents, such as purchase agreements and disclosure schedules.
  • Conduct legal due diligence reviews and summarize findings for deal teams and clients.
  • Analyze legal, regulatory, and competitive factors affecting transactions.
  • Advise on corporate governance and general corporate matters.
  • Interact with business executives, investors, and other stakeholders.
  • Work collaboratively within a high-performing deal team.

Requirements

  • 1-8 years of experience in corporate transactions, with a focus on mergers and acquisitions.
  • Admission to practice law in Nebraska or eligibility for admission.
  • Experience drafting and negotiating transactional documents.
  • Experience with M&A due diligence processes.
  • Excellent academic credentials.
  • Ability to communicate complex legal concepts clearly in written and oral form.
  • Strong work ethic and attention to detail.
  • Ability to identify and analyze legal and business risks.
  • Effective analytical skills and ability to work in a fast-paced team environment.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Licensed to practice law in Nebraska.
