Job Title: Senior Project Finance Associate Attorney

Job Overview:
A well-established law firm based in Houston, TX, is seeking an experienced Senior Project Finance Associate to join its growing Financial Services team. This role offers the opportunity to work on a variety of complex project finance transactions, including drafting and negotiating credit facilities, financing agreements, and project documents, while providing a critical contribution to both Lender- and Borrower-side matters. The ideal candidate will bring a mix of strong technical skills and a strategic mindset, able to independently manage and negotiate key project finance components.

Duties:

  • Draft and negotiate project finance agreements, including credit facilities, letters of credit, performance bonds, and payment bonds.
  • Conduct thorough bankability analysis of project documents, identifying risks and opportunities.
  • Negotiate and structure key project agreements, such as Engineering, Procurement, and Construction (EPC) contracts, supply agreements (transformers, modules, turbines, batteries, inverters, etc.), and off-take/tolling agreements.
  • Independently negotiate security documents, including security agreements, pledge agreements, financing statements, control agreements, and legal opinions.
  • Manage and lead due diligence for project documents, ensuring all critical components are identified and addressed.
  • Collaborate closely with colleagues across the firm and clients to develop strategies for successful project financing.
  • Provide practical, hands-on legal support to clients, helping them navigate the complexities of financing structures.

Requirements:

  • 4-6 years of hands-on experience in project finance, with specific exposure to both Lender- and Borrower-side matters.
  • Extensive experience in drafting and negotiating project finance agreements, particularly credit facilities and New York law-governed security documents.
  • Solid understanding of the project finance lifecycle, including EPC contracts, offtake agreements, and other essential project documents.
  • Strong negotiation skills and the ability to work independently on high-level transactions.
  • Demonstrated ability to manage complex projects and navigate the legal intricacies of financing arrangements.
  • Ability to conduct detailed legal due diligence and manage complex risk assessments.
  • Proven ability to thrive in a fast-paced, team-oriented environment.

Education:

  • J.D. from an accredited law school.
  • Excellent academic credentials.

Certifications:

  • Admission to the Bar in Texas.

Skills:

  • Strong legal writing and drafting abilities.
  • Exceptional communication and interpersonal skills.
  • Ability to think critically and provide strategic legal counsel.
  • Comfortable working with both senior-level clients and junior associates.
  • Capacity to independently manage tasks and client relationships with minimal supervision.
