Corporate Senior Associate Attorney, Counsel or Partner

A law firm in Hackensack, NJ is seeking a Corporate Senior Associate Attorney, Counsel, or Partner with 6+ years of experience in corporate transactions. The ideal candidate will handle a broad range of corporate legal matters, including equity structuring, general commercial transactions, private equity investments, M&A transactions, corporate governance, and joint ventures. Experience in securities law, tax, healthcare, and executive compensation is a plus. Bar membership in New Jersey or New York is required.

Job Responsibilities:

• Manage and oversee corporate transactions, including M&A, equity structuring, private equity investments, and joint ventures.
• Provide legal guidance on general commercial transactions, including the negotiation and drafting of contracts and agreements.
• Advise on corporate governance matters to ensure compliance with legal regulations and best practices.
• Collaborate with clients on the formation and operation of joint ventures and other corporate entities.
• Assist clients with private equity investments, offering strategic legal counsel throughout the process.
• Advise clients on equity structuring, financing, and corporate restructuring projects.
• Lead and support large-scale M&A transactions, ensuring proper due diligence and regulatory compliance.
• Provide counsel on regulatory matters, including securities law, tax law, healthcare law, and executive compensation as necessary.
• Stay updated on changes in corporate law and related areas to provide accurate, up-to-date legal advice.
• Build and maintain strong client relationships, providing strategic legal counsel to meet their business needs.

Requirements:

• Minimum of 6+ years of experience in corporate transactions, including M&A, private equity, joint ventures, and equity structuring.
• Bar membership in New Jersey or New York is required.
• Strong experience in corporate governance and commercial transactions.
• Excellent legal research, writing, and negotiation skills.
• Knowledge of securities law, tax, healthcare, and executive compensation is a plus.
• Ability to manage complex corporate transactions and collaborate with other attorneys and professionals.
• Strong client management skills, with the ability to build long-term relationships.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the New Jersey or New York State Bar is required.

Certifications (Preferred):

• Certification or coursework in corporate law, securities, tax, or executive compensation is beneficial but not required.
