Associate Attorney - Business and Corporate Law

Job Overview

A law firm seeks an experienced Associate Attorney to join its Business and Corporate Law practice group in Harrisburg, PA. The successful candidate will work directly with business owners and executives, providing practical legal guidance on day-to-day and strategic matters.

Duties

• Advise businesses on entity formation, governance, contracts, transactions, compliance, and general business operations.
• Review, draft, and negotiate contracts, operating agreements, shareholder agreements, buy-sell agreements, and employment agreements.
• Counsel business owners and executives on legal and strategic matters.
• Manage multiple client matters while providing exceptional client service.
• Work effectively in a fast-paced environment and assume responsibility for an active caseload.

Requirements

• Active membership in good standing with the Pennsylvania Bar.
• Prior experience handling business and corporate law matters.
• Strong legal research, writing, drafting, negotiation, and client communication skills.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in Pennsylvania.

Skills

• Experience with mergers and acquisitions, business succession planning, and commercial transactions preferred.
• Existing relationships within the business community are a plus.
• Experience serving as outside general counsel to businesses is preferred.
• Familiarity with business tax considerations and coordination with accountants and financial professionals.
