Job Overview

A law firm seeks a highly motivated mid-level Corporate Securities Associate in Chicago. The ideal candidate will have a solid background in securities matters and/or lending work, with at least five years of experience in a law firm setting. This role offers the opportunity to engage in a diverse and broad-based corporate practice.

Duties

  • Provide expert legal advice on mergers and acquisitions, private securities offerings, and corporate governance.
  • Draft and negotiate complex transactional documents, including purchase and shareholder agreements.
  • Conduct due diligence investigations and prepare comprehensive reports.
  • Manage and oversee junior associates and paralegals on transactions.
  • Collaborate with cross-functional teams for seamless deal execution.
  • Stay updated on legal developments and industry trends.
  • Represent clients in negotiations and dispute resolution processes.
  • Public securities and stock exchange compliance, including 34 Act and 33 Act, is a plus.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Minimum of five years of experience in mergers and acquisitions.
  • Strong knowledge of corporate law and securities regulations.
  • Excellent drafting and negotiation skills.
  • Proven ability to manage multiple complex projects.
  • Exceptional analytical and problem-solving abilities.
  • Excellent interpersonal and communication skills.
  • Ability to work independently and collaboratively.
  • Bar admission required in the attorney's resident or affiliated office.

Education
