Job Overview

A law firm seeks a Mergers & Acquisitions Associate Attorney in Providence, Rhode Island. The ideal candidate will possess excellent communication and administrative skills, be highly organized, detail-oriented, and capable of multitasking efficiently. They will represent the firm in a manner that enhances its reputation.

Duties

  • Engage in mergers and acquisitions with 2-5 years of verifiable experience.
  • Participate in joint ventures and capital raises, preferably in commercial real estate.
  • Draft, review, and negotiate various agreements including merger and stock purchase agreements.
  • Ensure stakeholder engagement and compliance with transaction procedures and policies.
  • Provide regular reports on deal status, regulatory approvals, and key issues.
  • Advise companies on corporate formations, governance, capital raising, and restructurings.
  • Assist in drafting transaction documents and coordinating closings.
  • Conduct due diligence reviews.
  • Review, revise, and negotiate commercial contracts.

Requirements

  • Bachelor's degree and J.D. degree.
  • Strong oral and written communication skills.
  • Knowledge of laws, rules, and court procedures.
  • Ability to organize data into clear arguments.
  • Handle sensitive matters confidentially.
  • Licensed to practice in Rhode Island and in good standing.
  • Located in or willing to commute to Providence, RI.
  • High degree of initiative, judgment, and discretion.
  • Strong organization and time management skills.
